These Terms & Conditions ("Terms") govern any engagement, quotation, proposal or service delivered by AiDroid LLP ("AiDroid", "we", "us", "our") to a client ("you", "your", "Client"). By engaging our services, approving a quotation, or making a payment to AiDroid LLP, you agree to be bound by these Terms.
AiDroid LLP provides on-demand software development services, including but not limited to website development, Android and iOS application development, admin panel/dashboard development, UI/UX design, API & backend development, cloud/DevOps setup, and ready-made software packages (such as the News Platform package). The exact scope of any project is defined in a written quotation, proposal, or statement of work ("SOW") shared with the Client prior to commencement.
All quotations are based on the requirements shared by the Client at the time of discussion. Any changes to scope, design, platforms, or features after the SOW is finalized may be treated as a change request and quoted/billed separately. Quotations are valid for 15 days from the date of issue unless stated otherwise.
Estimated timelines are shared at the start of the project and depend on timely feedback, content, and approvals from the Client. Delays in providing required inputs (content, credentials, approvals, etc.) may extend the delivery timeline accordingly.
Each project includes a reasonable number of design/development revisions as defined in the SOW. Revisions beyond the agreed scope, or requested after a milestone has been approved, may be treated as a new change request and billed separately.
Upon receipt of full and final payment, all rights to the final deliverables — including source code, design files, and documentation specifically created for the Client's project — are transferred to the Client. AiDroid LLP retains the right to use general knowledge, pre-existing tools, libraries, and reusable components built independently of the Client's project. Third-party libraries, frameworks, and assets used in the project remain subject to their own respective licenses.
AiDroid LLP treats all Client information, business ideas, and project details as confidential and will not disclose them to third parties without consent, except as required by law. A separate Non-Disclosure Agreement (NDA) can be signed on request before project details are shared.
Each project includes a free support window (as specified in the SOW or package details) covering bug fixes related to the originally delivered scope. Support beyond this window, new features, or issues caused by third-party changes (e.g., OS/platform updates, hosting changes) are covered under a separate maintenance plan.
AiDroid LLP will make reasonable efforts to deliver a high-quality, functional product. However, we are not liable for any indirect, incidental, or consequential damages, loss of revenue, or loss of data arising from the use of the delivered software, except where such liability cannot be excluded under applicable law. Our total liability for any claim shall not exceed the total fees paid by the Client for the specific project in question.
Our projects may integrate third-party services (payment gateways, cloud hosting, push notification providers, analytics, etc.). AiDroid LLP is not responsible for outages, policy changes, or charges levied directly by these third-party providers.
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.
We may update these Terms from time to time. The latest version will always be available on this page with an updated "Last updated" date.
